Archax Group Ltd has received Financial Industry Regulatory Authority (FINRA) approval for its US subsidiary, Archax Markets LLC. This completes its registration as a US digital broker-dealer with the Securities and Exchange Commission (SEC), establishing directly regulated operations in the world's largest capital market.

The approval marks a major milestone, giving the UK/EU-regulated digital asset platform provider a regulatory footprint that now spans three major Western jurisdictions. According to the firm, this directly regulated status covers the UK through the Financial Conduct Authority (FCA), the EU via Spain's Comisión Nacional del Mercado de Valores (CNMV), and the US through the SEC and FINRA.

Services for US institutional investors

Through its new US broker-dealer, Archax will offer private placements of both traditional and digital securities to US institutional and accredited investors. These offerings include tokenized real-world assets (RWAs).

The firm's registration also includes a significant capability to chaperone private placement offerings from non-US broker-dealers into the US market. This service, conducted in compliance with SEC Rule 15a-6, is aimed at Major US Institutional Investors (MUSSI) and other US institutional investors.

Clearing arrangements and expansion

Archax Markets has established a correspondent clearing arrangement with tZERO Securities, LLC and tZERO Digital Asset Securities, LLC. This relationship establishes Archax as an 'introducing broker' and grants its clients broader access to services including custody, escrow, and secondary trading via the tZERO Securities Alternative Trading System (ATS).

The US approval follows a period of international expansion for Archax. The company previously acquired a broker in Spain for EU access and established an entity in Dubai as a base for the United Arab Emirates.

Executive vision and next steps

Graham Rodford, CEO and co-founder of Archax, stated the firm's vision has always been global, regulated, institutional-grade access to RWAs. "We want to continue to help support institutional market participants’ transition from traditional to digital assets and give them the regulated tools and services they need to do that," Rodford said. He described the US as the deepest pool of institutional demand for tokenized assets.

Consistent with this vision, Archax Markets will invite experienced independent 'registered representatives' to affiliate with the firm. These representatives would gain access to digital asset securities capabilities, enabling them to bring tokenized real-world assets to their own client networks.

The firm expects to commence its US operations during the third quarter of 2026, positioning itself to serve growing institutional demand as US policymakers move toward a clearer framework for digital asset markets.
